Wholesale Terms & Conditions

These Wholesale Terms & Conditions (“Terms”) govern all wholesale purchases, accounts, and resale activities with JoySpring Holdings.
By placing a wholesale order, or reselling our products, you agree to abide by these Terms.

If you do not agree, do not place a wholesale order.

 

1. Eligibility & Account Approval

  • Wholesale accounts are available only to approved businesses for the purpose of resale.

  • We may request verification documents (resale certificate, EIN, business license, etc.).

  • We reserve the right to approve, deny, suspend, or terminate any wholesale account at our discretion.

  • Wholesale pricing and access are privileges, not rights.

 

2. Order Minimums & Large Orders

  • Minimum order requirements may apply depending on product type or quantity.

  • Large or high-risk orders may require manual review, payment verification, or split shipments.

  • We reserve the right to limit quantities or refuse orders that appear suspicious or inconsistent with normal wholesale activity.

 

3. Pricing, Discounts & MAP (Minimum Advertised Price)

  • Wholesale pricing is confidential and may not be shared publicly.

  • Prices are subject to change at any time without notice.

  • Certain products are subject to a Minimum Advertised Price (MAP) policy. If your account is approved to sell those products, you will receive the current JoySpring MAP Policy and MAP price list separately. These documents are incorporated by reference into these Terms.

  • You agree not to advertise covered products below the MAP price on any channel, including (but not limited to) your website, email marketing, paid ads, social media, and any online marketplaces you are explicitly approved to sell on.

  • MAP applies to the advertised price (the price made visible to the public), whether or not a lower price may be available in cart, by quote, or via private 1:1 offers.

  • Accounts that violate MAP (including repeated discounting, coupon stacking to circumvent MAP, or misleading “sale” pricing) may be suspended or permanently terminated at our discretion.

 

4. Payment Terms

  • All wholesale orders must be paid in full prior to shipment unless a written agreement states otherwise.

  • We accept payment via approved methods only (credit card, ACH, purchase order, etc.).

  • Chargebacks or unauthorized payment disputes may result in immediate account termination.

 

5. Shipping & Lead Times

  • Wholesale orders require additional processing time due to order size and fulfillment requirements.

  • Shipping costs are the responsibility of the reseller unless otherwise agreed.

  • Risk of loss transfers to the buyer once the carrier takes possession of the order.

  • We are not responsible for delays caused by carriers, customs, weather, or force majeure events.

 

6. Returns, Refunds & “100% Happiness Guarantee” Exclusions

Wholesale sales are final.

Because wholesale orders are intended for resale, our retail “100% Happiness Guarantee” does NOT apply to:

  • Wholesale orders

  • Bulk purchases

  • Purchases intended for resale

  • Large retail orders that resemble wholesale activity

  • Orders flagged as suspicious or abusive

 

Refunds and returns for wholesale orders are only accepted in cases of:

  • Incorrect items shipped

  • Damaged or defective products reported within 5 business days of delivery

  • Company error

We reserve the right to require:

  • Photo or video proof

  • Return of damaged goods

  • Inspection before issuing credit

Repeated refund requests may result in account review or termination.

 

7. Unauthorized Reselling, Platforms & Territories

Resellers may not:

  • Sell on Amazon, Walmart, eBay, Etsy, or other third-party marketplaces unless explicitly approved in writing.

  • Sell outside approved regions or countries.

  • Represent themselves as the manufacturer or authorized corporate entity.

  • Alter packaging, remove branding, or misrepresent product information.

Unauthorized resale may result in:

  • Order cancellation

  • Loss of wholesale privileges

  • Legal action for trademark or brand misuse

 

8. Branding, Marketing & Product Representation

You agree to:

  • Use our trademarks, product photos, descriptions, and marketing materials only as permitted.

  • Not make medical, health, or unverified product claims.

  • Accurately represent our brand across all sales channels.

We reserve all intellectual property rights.

 

9. Fraud Prevention & Suspicious Activity

To protect the company and customers, we may:

  • Monitor order patterns

  • Require identity verification

  • Limit quantities

  • Cancel orders

  • Suspend accounts

Reasons include (but are not limited to):

  • Excessive returns

  • Address mismatches

  • Credit card red flags

  • Unauthorized reselling

  • MAP violations

  • Attempts to misuse guarantees or promotions

 

10. Termination of Wholesale Account

Your account may be terminated immediately, without notice, for:

  • Policy violations

  • Fraudulent or abusive activity

  • MAP violations

  • Unauthorized marketplace sales

  • Harassment of employees or support staff

  • Chargebacks or payment disputes

After termination, you may no longer purchase at wholesale pricing or represent yourself as an approved reseller.


11. Limitation of Liability

To the fullest extent permitted by law:

  • The Company is not liable for lost profits, lost sales, business interruption, or indirect damages.

  • Our total liability shall not exceed the amount paid for the specific wholesale order in dispute.

 

12. Updates to These Terms

We may update these Wholesale Terms at any time.
Continued wholesale purchasing constitutes acceptance of the updated Terms.

 

Acceptance

By applying for a wholesale account or placing a wholesale order, you acknowledge that you have read, understood, and agree to these Wholesale Terms & Conditions in full.
